There are a number of activities which a fund management company is required to undertake on a periodic basis. These include matters such as preparing and publishing annual reports, conducting liquidity stress tests and reviewing the risk management framework.
The requirements to carry out these activities are spread out throughout the AIFM Regulations and UCITS Regulations and in the Fund Management Companies Guidance. It is important that each of these activities is carried out so that a fund management company is compliant with its regulatory obligations. This Annual Activity Checklist sets out in one place the items which the regulations and guidance require to be carried out on a periodic basis. This makes it easier to ensure that each item is scheduled to appear on a board meeting agenda each year (or more frequently, as the case may be). Directors can then review and approve each item and ensure that each activity has been undertaken as required.
How to use this template
This template is designed to be used by the Company Secretary in conjunction with the current annual meeting calendar. The Company Secretary should ensure that each of the items in the Annual Activity Checklist is included in the current annual meeting calendar for the Fund Management Company.
Part I sets out the activities which should be included in the annual meeting calendar for all fund management companies (i.e. AIFMs and UCITS management companies). Part II sets out additional activities which should also be included in the annual meeting calendar for AIFMs. Part III sets out additional activities which should also be included in the annual meeting calendar for UCITS management companies. For fund management companies that are authorised as both AIFMs and UCITS management companies, all of the activities in both Parts II and III should be included in the annual activity calendar.
